How we helped Fuller's successfully acquire Lovely Pubs

The deal includes sevens sites, six of which are freehold, situated in affluent commuter locations.

Fuller’s, a premium pub and hotel business, acquired the Lovely Pubs chain of seven pubs in Warwickshire for £22.5 million in August 2024.

Throughout it’s 179 years, Fuller’s has continued to build an estate of premium pubs and hotels that today numbers around 400 across the UK.

The licensing legal problem:

To strengthen its profile, Fuller’s planned a £22.5 million pound acquisition of seven pubs in Warwickshire operated by Lovely Pubs in August 2024. Six of the pubs are freehold and one lease:

  • The Orange Tree in Chadwick End
  • Boot Inn in Lapworth
  • Farm in Monkspath
  • Morton’s Kitchen in Dickens Heath
  • Baraset Barn in Alveston
  • Moat House Inn in Kings Coughton
  • Queen’s Head in Stoke Pound

For a successful acquisition, Fuller’s instructed Poppleston Allen to review all of the licences and carry out due diligence.

The legal value we added:

Partners, James Anderson and Graeme Cushion, with the support of solicitor Alex Tomlinson, were instructed to advise Fuller’s that all of the premises licences and other licences, were fit for purpose now and for their future plans.

The team reviewed all licences to ensure they did not contain any unusual licensing hours, conditions or possible risks to Fullers. This was closely followed with due diligence. Here our solicitors contacted the authorities for each of the seven premises.

Due diligence is a vital part of the acquisition. Often, any problems with licences can devalue business and, in the worst-case scenario, result in the abandonment of the acquisition.

Results

The team completed all due diligence seamlessly, and they completed the acquisition on time and without any issues.

The Lovely Pubs venues will continue to run under their existing offer under Fuller’s ownership.
